Shpap Terms of Service

Effective date: September 23, 2026

These Terms of Service (“Terms”) are an agreement between you and Shpap Inc. (“Shpap,” “we,” “us”), a Delaware corporation with its principal office at 408 Bryant Cir, Ojai, California 93023. They govern your use of shpap.net, the Shpap service and our software (together, the “Service”).

1. Agreement

By using the Service you agree to these Terms and to our Privacy Policy at shpap.net/privacy. If you use the Service for a company or another person, you confirm you have authority to bind them. If you do not agree, do not use the Service.

2. Who can use the Service

You must be at least 18, or the age of majority where you live. A person under that age may use the Service only through a parent or legal guardian, who must accept these Terms and sign any registration authorization on the minor’s behalf.

The Service is offered only to individuals and businesses located in the United States. You may not register a recording or open an account if you are located in the European Economic Area, the United Kingdom or Switzerland. We may decline or withdraw any registration made from outside the United States.

3. What the Service does

Shpap registers sound recordings for their owners. Registration embeds an inaudible identifier in a recording and creates a dated registration record naming the owner, with a hash of that record written to a public blockchain. Where you subscribe to monitoring, Shpap looks for your registered recordings in use and notifies you. On request, Shpap produces a report of what it measured.

What the Service is not.

  • Not a copyright registration with the U.S. Copyright Office or any government, unless you separately buy that filing service and it is filed.

  • Not legal advice. A report states what was measured, where, when and with what error rate. It never states that a use is infringing or unlicensed. Whether to act on a report, and how, is your decision and your counsel’s.

  • Not a guarantee that every use of a recording will be found. Detection depends on how a recording is used, altered or mixed with other sound.

4. YouTube

Parts of the Service use YouTube API Services. By using the Service, you agree to be bound by the YouTube Terms of Service, available at https://www.youtube.com/t/terms. Google’s handling of information is described in the Google Privacy Policy at http://www.google.com/policies/privacy.

5. Your account

Keep your login details secure and tell us promptly about any unauthorized use. You are responsible for activity under your account. Give us accurate information and keep it current.

6. Your recordings and your rights

You keep ownership. Registering a recording with Shpap transfers no copyright or other right in it to Shpap.

Permission you give us. You grant Shpap a limited, non-exclusive, worldwide, royalty-free permission to copy, store, process and embed the identifier in the recordings you submit, to create and keep registration records, to monitor for your registered recordings, and to produce reports, in each case only to provide the Service to you. This permission ends when you stop using the Service, except that registration records and delivered reports continue as described in section 8.

What you promise. For every recording you register, you promise that:

  • you own it, or you are authorized in writing by its owner to register it,

  • the ownership information you supply is true and complete, and

  • registering it does not violate anyone else’s rights or any agreement you have made.

A registration records what you told us. It is not a finding by Shpap that you own the recording.

7. Acceptable use

You will not:

  • register a recording you do not own or are not authorized to register,

  • supply false ownership information, or use the Service to make a false claim against anyone,

  • attempt to remove, alter or defeat an identifier embedded by the Service, or to reverse engineer the Service,

  • interfere with the Service, bypass its security or usage limits, or access it by automated means we have not provided,

  • use the Service in violation of any law or of the YouTube Terms of Service.

We may suspend or end your access if you break these rules, and we may mark any affected registration record withdrawn.

8. Registration records are permanent

A registration record is never edited after it is created, and the hash written to the public blockchain cannot be removed by anyone, including Shpap. If a registration was wrong, or you end your account, we will mark the record withdrawn or add a correcting record. The original record and its blockchain entry remain. Our Privacy Policy explains this in more detail.

9. Fees

Registration is free. Paid services, such as monitoring and reports, are priced as shown when you buy them. Fees are due as stated at purchase and, unless the law requires otherwise, are not refundable. Shpap never charges a percentage of any money you recover from anyone. We will give you at least 30 days’ notice before a price change affects a subscription you already have.

10. Shpap’s rights

The Service, including our software, methods and the identifier technology, belongs to Shpap and is protected by intellectual property law. Except for the permission to use the Service under these Terms, you receive no right in it.

11. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, Shpap disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Shpap does not warrant that the Service will be uninterrupted or error free, that any use of a recording will be detected, or that any report will produce any result for you.

12. Limitation of liability

To the fullest extent the law allows, Shpap is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Service. Shpap’s total liability for any claim relating to the Service is limited to the greater of the fees you paid Shpap in the 12 months before the claim arose, or $100. Nothing in these Terms limits liability for fraud, willful injury, or violation of law, or any other liability that cannot be limited under applicable law.

13. Indemnity

You will defend and indemnify Shpap against claims, losses and costs, including reasonable attorneys’ fees, arising from recordings or ownership information you submit, your breach of these Terms, or your violation of anyone’s rights.

14. Ending use

You may stop using the Service at any time. We may suspend or end the Service for you if you breach these Terms or if we stop offering the Service, with notice where practical. Sections 6 (what you promise), 8, 10, 11, 12, 13 and 15 continue after your use ends.

15. Law and disputes

Before filing any claim, you and Shpap agree to try to resolve the dispute informally. Send a written notice describing the dispute to privacy@shpap.net or to our mailing address, and we will do the same to the email on your account. If it is not resolved within 30 days, either party may proceed. Either party may bring an individual claim in small claims court if it qualifies.

These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. Any dispute will be decided in the state or federal courts located in Ventura County, California, and you and Shpap consent to their jurisdiction.

16. Changes

We may update these Terms. We will post changes on this page with a new effective date and, for material changes, notify registered users by email before they take effect. Continued use after the effective date means you accept the updated Terms.

17. General

These Terms and the Privacy Policy are the entire agreement between you and Shpap about the Service. If any part is found unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
